Motorola shares could rise 40 percent - Barron's

PHILADELPHIA, Feb 7 (Reuters) - Shares of communications equipment company Motorola Inc (MOT.N) could rise 40 percent if it spins off its profitable cellphone division even as the company faces many challenges, according to Barron's.

Motorola's stock looks attractive on a sum-of-the-parts basis, with its most valuable unit selling communications gear to police and fire departments, Barron's said.

The company appears to be worth at least $9 a share, the newspaper said.

Motorola seems primed for a breakup because it has co-CEOs, with Sanjay Jha, formerly of Qualcomm Inc (QCOM.O), heading the mobile-devices segment, and Greg Brown overseeing the rest of the company, Barron's said.

The company also has $4.6 billion, or $2 a share, of net cash and investments, Barron's said.

The company also has an division called Enterprise Mobility, which sells radio, data-communications and other equipment to police and fire departments and other government operations. That unit could be worth $10 billion, or more than $4 a share, Barron's said.

The home-and-networks division had operating profits of $558 million last year and could be worth $4 billion, or almost $2 a share, Barron's said.

All this totals about $8 a share without the mobile-phone division, which is reviving under Jha's leadership, the newspaper said. Motorola shares could rise 40 percent if it could spin off the cellphone division, Barron's said. More news out, looks like they are keeping their set top box unit and spinning it out instead. This confirms that they will be doing their spinoff Trants has been talking about, and apparently they still see a future for the business (or they can't get a big enough premium for it).

But the next round of bids are only due on Feb. 18 and even that date could slip, indicating the process is going very slowly, another source said. At least one large private equity firm that put in a first-round bid has dropped out of the process, another source said.

Private equity firms that bid have been asked to team up with strategic bidders -- meaning companies in the same industry -- for the next round, two sources said.

Telecommunications companies interested in the unit include Arris Group Inc. and China's Huawei Technologies Co Ltd., the sources said.

The bidders have been asked to reconfirm their offers by next week, one of the sources said.

The sources spoke on condition of anonymity because the auction is being conducted privately.

Motorola spokeswoman Jennifer Erickson declined to comment on the auction but said that the company's publicly stated plan is to separate the mobile handsets unit from the rest of the company, which includes the home and networks business and the enterprise mobility unit.

Representatives for Arris and Huawei did not immediately return calls or emails seeking comment.

PHONE SALES

Motorola has said that the timing of any mobile handsets unit spin-off would depend on factors such as market conditions and improvements in the performance of the unit.
The mobile phone unit has not had a hit device since the Razr, although the Droid smartphone has generated good buzz. The company said last week that consumers have given the Droid, which is based on Google's Android software, a good reception.

Motorola has not given specific sales numbers for the phone, but analysts have high expectations as Verizon Wireless has been heavily promoting the device in its biggest marketing campaign ever for a single device.

One reason why Motorola may hold on to its set-top box business is because the initial bids came in between $3 billion and $4 billion, below what the company was expecting, according to the Wall Street Journal, which first reported the news.
Last month, a source told Reuters that private equity firms were likely to bid at a multiple of around six to seven times the unit's earnings before interest, taxes, depreciation and amortization (EBITDA), valuing it at no more than $4 billion.

Shares of Motorola closed Thursday at $7.71, up 1.4 percent, on the New York Stock Exchange.

The company may split its home and networks mobility unit, comprising the set-top box business as well as wireless networking equipment, the newspaper said, citing unnamed people familiar with the matter. Motorola would continue with an auction of the network gear business, they said.

The home-networking division, the company’s largest, accounted for about a third of Motorola’s sales last quarter. Motorola had been exploring a possible sale of the that division, three people familiar with the situation have said. Co-Chief Executive Officer Greg Brown said last month a separation of the handset business, which lost more than $3 billion in the past two years, is pushing “full steam ahead.”

Jennifer Erickson, a spokeswoman for Schaumburg, Illinois- based Motorola, declined to comment.

The company reported sales of $5.72 billion in the fourth quarter, about 20 percent drop from a year earlier.

Motorola fell as much as 1.5 percent in late trading after rising 9 cents to $6.63 at 4 p.m. on the New York Stock Exchange. The shares have dropped 15 percent this year, after surging 75 percent in 2009.

Feb. 10 (Bloomberg) -- Motorola Inc. sued two Iridium Communications Inc. units, claiming they owe the U.S. mobile phone maker $24.7 million.

In a complaint filed yesterday in a state courthouse in Chicago, Motorola alleges it is owed the money under the terms of a loan it made to Iridium Satellite LLC in 2000, which was then guaranteed by Iridium Holdings LLC.

Iridium Holdings, a satellite telecommunications company, was acquired by Iridium Communications -- then known as GHL Acquisition Corp. -- in September for more than $546 million.

That transaction triggered repayment of the 9-year-old debt under a change of control provision in the parties’ agreements, according to Schaumburg, Illinois-based Motorola’s complaint.

Liz DeCastro, a spokeswoman for Bethesda, Maryland-based Iridium, said the company “cannot comment on litigation.”

The case is Motorola Inc. v. Iridium Satellite LLC, 10CH5684, Cook County Circuit Court, Chancery Division (Chicago).

Completing the Separation

Motorola intends to effect the separation through a tax-free stock dividend of shares in the new company to Motorola shareholders. Following the separation both businesses will be well capitalized so the companies can execute their respective business plans and be able to address future opportunities. Motorola expects that, post-separation, the Enterprise Mobility and Networks business will be capitalized in a manner that will achieve an investment grade rating and will be the entity responsible for Motorola's existing public market debt at the time of separation.

Following the separation event both entities will use the Motorola brand. The Mobile Devices and Home business is expected to own the Motorola brand and license it royalty free to the Enterprise Mobility Solutions and Networks business. Additional details regarding brand, capital structure and which entity will be distributed will be provided in the future as we progress with our plans.

The proposed tax-free spin-off is expected to be accomplished through a pro rata distribution to Motorola shareholders. Completion of the spin-off is subject to a number of conditions, including, among others, confirmation of the tax-free nature of the transaction, as well as effectiveness of a Form 10 Registration Statement to be filed with the U.S. Securities and Exchange Commission ("SEC"). Motorola will distribute an information statement to shareholders following completion of the SEC's review of the Form 10.

The Company noted that there can be no assurance that any separation transaction will ultimately occur or, if one does occur, there can be no assurances as to its terms or timing.

Motorola Confirms Plans To Break In Two This is the reason for AH jump

Today Motorola officially said that it plans to split the organization into two separate businesses by the end of the first quarter of 2011. One business will include Motorola’s mobile devices and home (cable boxes) businesses, and the other will include its enterprise mobility solutions and networks businesses. In a prepared statement, Motorola explained, "Motorola intends to effect the separation through a tax-free stock dividend of shares in the new company to Motorola shareholders. NEW YORK, Feb 11 (Reuters) - Motorola Inc <MOT.N> aims to split into two companies in the first quarter of 2011, separating its cellphone and television set-top box businesses from the rest of the company, it said on Thursday.

Motorola said each company would be independent and publicly traded, and that the separation would provide the businesses flexibility to grow in the long term.

One company will focus on mobile devices and home devices while the rest will include its corporate business and wireless network equipment business, it said.

Motorola shares rose 3.9 percent to $6.93 in extended trade after the news.

The company had said last month that it planned to separate its handset business, which has been struggling to win back market share. But executives had also said they were looking at alternative structures.

Its set-top box had also suffered due to a weak economy, while its wireless network equipment business had been hit by a consolidation among telecom operators.

Motorola said the enterprise and network equipment business will be the entity responsible for Motorola's current public debt and will be capitalized to achieve an investment grade rating.

Tavis McCourt of Morgan Keegan said he was not sure whether the combination of the handset and cable set-top box businesses would yield synergies, but still saw the plan as positive.

"I'm glad they're doing it. Its nice they're putting timing behind it. It's a sign they're very confident in their handset business this year," he said.

Motorola's latest financial results show its mobile phone business had revenue of $7 billion for 2009. The enterprise wireless business had revenue of $2 billion while home and network sales brought in another $2 billion. During that conference call last night, the Motorola execs seemed to be in very good spirits over this announcement, and sounded confident in their decision, apparently the market thinks so as well today .

What got me thinking is...what exactly would be the difference of them splitting the company up in terms of "creating value" as they kept reiterating. Well my opinion is :

1) It will allow Brown + Jha to go about their own business without having to come to a mutual decision on company activities

2) It will allow Jha to pursue what he wants to do...grow the Motorola phone platform to its former greatness back in the Razr days, more likely by buying things than developing them...they are too far behind Apple.

3) Company said they had 6 billion in cash at the earnings release...thats not even looking at taking out any debt. They NEED to spend it on something if they are going to catch up to Apple, RIMM, etc, they won't catch up leaving it in the bank.


Now...going back to what Trants said, and combine that with recent almost DAILY news releases, Motorola likes to buy competition outright to grow their platform rather than innovate right? They have been out in full force lately it seems with buying things and technologies up for cell phones. Well....what if they were to attack a competitor?

I thought of PALM, another company that has fallen to the wayside and is 3rd rate in the cell phone world. Now there have been rumors of Nokia buying them, but PALM has just what Motorola needs / wants... OS software.

Well technically, they dont NEED it, but they are now operating on the same software as Google, who was supposed to be their friend + ally, but decided they would create the Nexus one behind their back.

My thoughts is that Motorola could go after PALM and obtain their OS software, deleverage themselves from Google Android, and finally attempt to be competitive.


PALM has 168 million shares outstanding with a 1.7 Billion market cap. I could be very wrong with this assumption, someone please correct me, but Motorola could possibly go after PALM and buy them for around 20 bucks a share (some analysts have PALM at that area right now), obtain everything PALM has, and try to turn the corner this route rather than live off the Google stuff.....RISKY, but Motorola has lived on acquiring things throughout its history (as Trants said).


I found a couple articles that felt pretty much the same way as I did, but apparently this thought is an old one...there's articles from way back in 2007 talking about it.

This is nothing more than speculation, and it goes on every day. It might not be a bad idea though now that the phone handsets are separated from the other part of the business in 2011
